The gist:

We (meaning the staff of Ecce africa) run an online magazine called ecceafrica.com and would love for you to use it. ecceafrica.com’s basic service is free, and we offer paid upgrades for advanced features such as advertising. Our service is designed to give you as much control and ownership over what you publish and encourage you to express yourself freely. However, be responsible in what you publish. In particular, make sure that none of the prohibited items (like spam, viruses, or serious threats of violence) appear in your publications or is accessible through a link you published.

  1. Changes : Our services are constantly updated and sometimes have to change the legal conditions under which our services are offered.   1. Disclaimer of Warranties : The Website is provided “as is”. Ecce Africa and its suppliers and licensors hereby excludes all warranties of any kind, express or implied, including without limitation, warranties of merchantability, fitness for a particular purpose and non-infringement . Neither Ecce Africa nor its suppliers and licensors warrant that the Web Site will be error free or that access to the Website will be continuous and uninterrupted. You understand that you download or otherwise obtain content or services through the Website at your discretion and at your own risk

Limitation of Liability : In no event the responsibility of Ecce Africa, its suppliers or its licensors shall not be liable in relation to the subject of this Contract pursuant to any agreement, negligence, strict liability, legal theory or equitable doctrine for: (i) any special damages, or incidental or consequential damages; (ii) the purchase price of substitute products or services; (iii) the interruption of use or loss or corruption of data; or (iv) amounts exceeding the fees paid by you to Ecce Africa under this agreement during the twelve (12) months preceding the cause of action arose. Ecce Africa can not be held liable for any delay or failure independent of his will. The preceding provisions shall not apply where they are prohibited by applicable law.

General Representation and Warranty : You warrant that (i) your use of the Website is entirely in accordance with the Ecce Africa’s Privacy Policy, with this Agreement and all applicable laws and regulations (including, without limitation, regulation or law of your country, state , town or other civil division regarding online conduct and acceptable content, and all applicable laws regarding the transmission of technical data exported from the United States or your country of residence) and (ii) your use of the Website does not infringe nor divert the intellectual property rights of any third-party.

Indemnification : You agree to ensure Ecce Africa, its contractors and its licensors, and their directors, officers, employees and agents against all claims and expenses, including attorneys’ fees, resulting from your use of the Website, including, without limitation, your violation of this Agreement.

Miscellaneous : This Agreement constitutes the entire agreement between Ecce Africa and you concerning the subject matter hereof, and they may only be modified by a written amendment signed by an authorized executive of Ecce Africa, or by the posting by Ecce Africa of a revised version. Unless otherwise provided by applicable law, if any, this Agreement and any access to the Website or use of the Website is governed by the laws in force in the Republic of Benin, with the exception of its provisions on conflict laws and the competent jurisdiction in disputes arising from the Agreement, access to the Website or use of the Website or relating to the latter shall state courts of the Republic of Benin. The arbitration proceedings will be held in the Republic of Benin, in French language, and the arbitration award may be enforced by any court present on the Beninese territory. The prevailing party in any action or proceeding for the implementation of this Agreement shall be entitled to reimbursement of costs and attorney fees incurred. In the event that any provision of this Agreement is held invalid or unenforceable, that provision is interpreted to reflect the original intent of the parties, and the remaining provisions shall remain in full force and effect.
